1 B2B Exclusivity and Applicability

Tranzir is a professional-grade AI infrastructure provider designed exclusively for business entities, performance agencies, and commercial marketers (B2B). By accessing or using this service, you represent and warrant that you are acting for commercial purposes. You explicitly acknowledge that consumer protection laws, including any statutory "right of withdrawal" or mandatory refund periods (such as the EU Consumer Rights Directive), do not apply to this commercial agreement.

2 Intellectual Property and Processing License

You retain full ownership of the original video and audio content you upload ("User Content"). However, you grant Tranzir a non-exclusive, worldwide, royalty-free, and ephemeral license to analyze, fragment, and synthetically modify your content solely to provide the dubbing and translation services.

You represent that you own all rights or have obtained all necessary third-party licenses for any file uploaded. Tranzir acts solely as a neutral processor and does not verify the legal provenance of your files.

3 Biometric Warranty and Voice Synthesis

If you utilize custom voice cloning features, you legally warrant that you have obtained explicit, written, and informed consent from the data subject (the person whose voice is being cloned) for the creation of a synthetic voice model for commercial reproduction.

Unauthorized cloning of public figures, private individuals, or copyrighted performances is a material breach of this contract and will result in immediate account termination.

4 Indemnification (Hold Harmless)

You agree to defend, indemnify, and hold harmless Tranzir, its founders, and its sub-processors from any third-party claims, damages, or legal fees arising from:

5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANZIR'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE—INCLUDING SYSTEM DOWNTIME, AI ERRORS, OR MISTRANSLATIONS—IS STRICTLY LIMITED TO THE TOTAL AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM. TRANZIR SHALL NOT BE LIABLE FOR INDIRECT DAMAGES, LOSS OF PROFITS, OR REVENUE LOSSES RESULTING FROM ADVERTISING ACCOUNT BANS ON THIRD-PARTY PLATFORMS.

6 Governing Law and Arbitration

These terms are governed by the laws of the State of Delaware, USA. Any dispute shall be resolved through binding individual arbitration.

YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT.
